These Terms & Conditions (“Terms”) govern your access to and use of the WiFI Paycheck LLC website and any services provided by WiFI Paycheck LLC (“WiFI Paycheck,” “Company,” “we,” “us,” or “our”).

By accessing or using our website, submitting an inquiry, communicating with us regarding our services, or engaging our services, you (“you,” “your,” “Client,” or “customer”) agree to these Terms..

If you enter into a separate Master Service Agreement (“MSA”), Statement of Work (“SOW”), Service Level Agreement (“SLA”), proposal, or other written agreement with WiFI Paycheck, that agreement will govern the specific services, fees, deliverables, and other commercial terms applicable to those services. If there is a conflict between these Terms and a signed MSA, SOW, or other written agreement, the signed agreement will control with respect to the specific services covered by that agreement.

1. SERVICES

1.1 Scope of Services

WiFI Paycheck LLC provides digital marketing and related services, which may include:

  • Search Engine Optimization (SEO);

  • Social Media Marketing (SMM);

  • Paid advertising and advertising campaign management;

  • Digital marketing strategy;

  • Content and marketing services;

  • Website and conversion-related services; and

  • Other digital marketing services agreed upon in writing.

The specific services, deliverables, timelines, fees, and other requirements applicable to a Client will be described in the applicable MSA, SOW, proposal, service agreement, or other written agreement.

WiFI Paycheck may use employees, contractors, subcontractors, consultants, specialists, agencies, software providers, and other third-party service providers in delivering or fulfilling its services.

1.2 No Guarantee of Specific Results

Digital marketing performance depends on numerous factors outside of WiFI Paycheck’s control.

WiFI Paycheck does not guarantee specific search-engine rankings, website traffic, leads, sales, revenue, advertising performance, engagement, conversion rates, return on investment (ROI), or other specific business results.

Any projections, estimates, forecasts, targets, examples, case studies, or performance expectations provided by WiFI Paycheck are for informational purposes only and do not constitute guarantees of future performance.

SEO rankings, advertising performance, social media reach, website traffic, and other marketing results may fluctuate due to search-engine algorithms, advertising-platform policies, competition, market conditions, changes in technology, Client actions, and other factors.

2. CLIENT RESPONSIBILITIES

Clients are responsible for providing accurate, complete, and timely information necessary for WiFI Paycheck to perform the agreed services.

Clients agree to:

  • Provide accurate business, product, service, and contact information;

  • Provide necessary access to websites, social media accounts, advertising accounts, analytics platforms, and other systems;

  • Maintain ownership and appropriate authorization for accounts and materials provided to WiFI Paycheck;

  • Respond to requests for information, approvals, or access within a reasonable timeframe;

  • Ensure that their products, services, claims, offers, websites, content, and business practices comply with applicable laws and regulations; and

  • Comply with the terms and policies of third-party platforms used in connection with their marketing campaigns.

Clients are responsible for the accuracy and legality of information, claims, offers, products, and services supplied to WiFI Paycheck.Delays caused by missing information, lack of access, delayed approvals, Client-requested changes, or other Client-related circumstances may affect project timelines and service performance.

3. THIRD-PARTY SERVICE PROVIDERS AND PLATFORMS

3.1 Service Providers and Contractors

WiFI Paycheck may engage third-party service providers, contractors, subcontractors, consultants, specialists, agencies, technology providers, and other vendors to assist in providing or fulfilling services on behalf of the Company.

These providers may perform certain services or portions of a Client’s project, including SEO, content creation, social media services, advertising operations, design, development, analytics, technical services, or other marketing-related work.

WiFI Paycheck remains responsible for managing the services provided to the Client and may determine, in its discretion, which personnel, contractors, subcontractors, or service providers are used to fulfill the services.

Unless otherwise agreed in writing, WiFI Paycheck is not required to disclose the identity, business name, location, or individual involvement of particular contractors, subcontractors, or service providers used in delivering the services.

Where reasonably necessary to perform the services, WiFI Paycheck may provide such service providers with access to Client information, materials, accounts, or systems. WiFI Paycheck will take reasonable measures to require service providers handling confidential Client information to protect that information and use it only for authorized business purposes.

3.2 Third-Party Platforms

WiFI Paycheck may use or interact with third-party platforms and services, including search engines, social media platforms, advertising networks, analytics services, hosting providers, software platforms, payment processors, communication tools, and other technology providers.

Third-party platforms may change their policies, algorithms, pricing, features, availability, or technical requirements at any time.

Third-party platforms may also suspend, restrict, reject, disable, or terminate accounts, advertisements, pages, campaigns, or other services.

WiFI Paycheck is not responsible for decisions, outages, policy changes, restrictions, suspensions, account limitations, or other actions taken by third-party platforms that are outside the Company’s reasonable control.

4. PAYMENT AND FEES

4.1 Fees

Fees for services are established in the applicable MSA, SOW, proposal, invoice, service agreement, or other written agreement.

4.2 Payment Terms

Payments are due according to the payment schedule specified in the applicable agreement or invoice.

4.3 Late Payments

Failure to make payments when due may result in suspension or termination of services.

Any applicable late fees, collection costs, or other payment consequences will be governed by the applicable MSA, invoice, or other written agreement.

4.4 Refunds

Unless otherwise expressly stated in a signed agreement or required by applicable law, payments for services already performed are non-refundable.

Any refund rights specifically agreed upon in an MSA, SOW, or other written agreement will remain subject to that agreement.

5. INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, WiFI Paycheck retains ownership of its pre-existing intellectual property, proprietary processes, strategies, templates, systems, methodologies, tools, software, frameworks, know-how, and other materials used to provide its services.

Clients receive only the rights to use deliverables specifically provided to them under the applicable service agreement.

Clients may not reproduce, resell, distribute, sublicense, publish, or commercially exploit WiFI Paycheck’s proprietary materials, templates, systems, processes, frameworks, or other intellectual property without the Company’s prior written permission.

Client-owned materials remain the property of the Client.

Third-party materials, platforms, software, images, trademarks, and other third-party intellectual property remain subject to the applicable third-party rights and licenses.

6. CONFIDENTIALITY

Each party may receive confidential or proprietary information belonging to the other party during the course of providing or receiving services.

Each party agrees to use reasonable measures to protect confidential information and not disclose it to unauthorized third parties except where disclosure is necessary to perform the services, required by law, or otherwise authorized by the relevant party.

WiFI Paycheck may disclose confidential Client information to employees, contractors, subcontractors, service providers, professional advisers, or other parties where reasonably necessary to provide the contracted services or operate the Company’s business, subject to appropriate confidentiality obligations where applicable.

Confidentiality obligations that by their nature should survive termination will continue after the business relationship ends.

7. DATA AND PRIVACY

WiFI Paycheck may collect, use, store, and process personal information in connection with operating the website, communicating with visitors and Clients, managing accounts, processing payments, and delivering services.

Our collection and use of personal information is described in our Privacy Policy, which forms part of the legal terms applicable to use of our website.

By using our website or submitting information to us, you acknowledge that your information may be collected and processed as described in our Privacy Policy.

Clients are responsible for ensuring that any personal information, customer data, or other information they provide to WiFI Paycheck may lawfully be shared with the Company for purposes of providing the contracted services.

8. ACCEPTABLE USE

You may not use our website or services for unlawful, fraudulent, deceptive, abusive, or unauthorized purposes.

You may not knowingly:

  • Provide false or misleading information;

  • Attempt to gain unauthorized access to our systems, accounts, or technology;

  • Interfere with the operation or security of our website or services;

  • Use our services to facilitate unlawful activities;

  • Violate applicable laws or regulations; or

  • Use our services in a manner that violates applicable third-party platform policies.

WiFI Paycheck reserves the right to refuse, suspend, or discontinue services where a Client’s activities create legal, regulatory, security, reputational, or platform-compliance risks.

9. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, WiFI Paycheck LLC and its owners, employees, contractors, subcontractors, affiliates, service providers, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the website or services.

This includes, without limitation, claims involving lost profits, lost revenue, lost business opportunities, loss of data, loss of customers, loss of anticipated savings, or business interruption.

To the maximum extent permitted by applicable law, WiFI Paycheck’s total aggregate liability arising out of or relating to a particular service or claim will not exceed the amount actually paid by the Client to WiFI Paycheck for that service during the three (3) months immediately preceding the event giving rise to the claim.

Nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited under applicable law.

10. SERVICE INTERRUPTIONS AND EVENTS OUTSIDE OUR CONTROL

WiFI Paycheck will not be responsible for delays, interruptions, or failures caused by circumstances beyond its reasonable control.

Such circumstances may include third-party platform outages, internet or telecommunications failures, hosting failures, software failures, cyber incidents, natural disasters, government actions, labor disruptions, acts of war, or other events beyond the Company’s reasonable control.

Where reasonably possible, WiFI Paycheck will make commercially reasonable efforts to resume affected services.

11. TERMINATION

Termination of Client services will primarily be governed by the applicable MSA, SOW, or other written service agreement.

If no separate termination terms have been agreed upon, either party may request termination by providing written notice.

Termination does not eliminate obligations that accrued before termination, including outstanding payment obligations.

Provisions relating to payment, intellectual property, confidentiality, privacy, limitations of liability, dispute resolution, and other provisions that by their nature should survive termination will continue after termination.

12. WEBSITE USE

The WiFI Paycheck website is provided for general informational and business purposes.

While we make reasonable efforts to keep website information accurate and current, we do not guarantee that all information on the website is complete, accurate, current, or error-free.

We may modify, suspend, restrict, or discontinue any portion of the website at any time without prior notice.

13. CHANGES TO THESE TERMS

WiFI Paycheck may update these Terms from time to time.

When material changes are made, we may provide notice by posting the updated Terms on our website, updating the Effective Date, or using other reasonable means of notification.

Your continued use of the website or services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

14. GOVERNING LAW

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict-of-law principles.

15. DISPUTE RESOLUTION AND VENUE

The parties agree to first attempt in good faith to resolve any dispute relating to these Terms or the services through direct communication.

Unless the parties separately agree in writing to arbitration, any dispute that is not resolved informally may be brought in a court of competent jurisdiction in the State of Wyoming.

Each party consents to the jurisdiction of courts located in Wyoming for disputes that are properly brought there..

Nothing in this section prevents either party from seeking emergency, temporary, or equitable relief where permitted by applicable law.

16. ELECTRONIC COMMUNICATIONS AND AGREEMENT

You agree that communications between you and WiFI Paycheck may be conducted electronically, including by email, online forms, electronic agreements, and other electronic means.

To the extent permitted by applicable law, electronic records and electronic signatures may satisfy requirements for written communications and signatures.

17. SEVERABILITY

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will continue in full force and effect.

18. ENTIRE AGREEMENT

These Terms, together with any applicable MSA, SOW, proposal, SLA, invoice, and other written agreement between WiFI Paycheck and a Client, constitute the applicable agreement between the parties concerning the subject matter covered by those documents.

If there is a conflict between these website Terms and a signed MSA, SOW, or other written agreement, the signed agreement will control with respect to the specific services covered by that agreement.

19. NO WAIVER

A failure by WiFI Paycheck to enforce any provision of these Terms does not constitute a waiver of the Company’s right to enforce that provision or any other provision in the future.
